Terms of Service

1. Acceptance of Terms
By accessing and using Olmsted (olmstedinfra.com), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the service.
2. Description of Service
Olmsted is a cloud-based platform designed to streamline infrastructure permitting workflows. The platform provides permitting pathway analysis, document management (virtual data room), project tracking, collaboration tools, and external advisor portal functionality. Olmsted is designed for infrastructure developers, utilities, environmental consultants, and energy/infrastructure law firms managing federal and state permitting processes.
3. Account Responsibilities
Account Creation
You are responsible for providing accurate, complete, and current information when creating your account. You agree to maintain the confidentiality of your password and are responsible for all activities that occur under your account. You must immediately notify us of any unauthorized use of your account.
Account Security
You agree to use reasonable security practices to protect your account credentials and not to share your password with others. You are liable for all activities conducted using your account credentials.
4. User Content & Intellectual Property
Ownership
You retain all ownership rights to the content you upload to Olmsted, including documents, project data, and communications. Nothing in these terms transfers ownership of your content to Olmsted.
License to Olmsted
By uploading content to Olmsted, you grant Olmsted a worldwide, non-exclusive, royalty-free license to use, store, transmit, display, and reproduce your content solely for the purpose of providing the Olmsted service. This includes hosting your documents on secure servers, creating backups, and enabling access by your invited team members and advisors.
Olmsted Content
All Olmsted intellectual property — including the platform interface, regulatory templates, permitting pathway mappings, and AI-generated content suggestions — remains the exclusive property of Olmsted and is protected by copyright and other intellectual property laws.
5. Acceptable Use
You agree not to use Olmsted to:
- Upload, transmit, or store illegal content or materials that violate any laws or regulations.
- Engage in fraud, misrepresentation, or deceptive practices.
- Reverse engineer, decompile, or attempt to extract the source code of Olmsted.
- Scrape, crawl, or automatically extract data from Olmsted without authorization.
- Upload malware, viruses, or other harmful code.
- Harass, threaten, or abuse other users or Olmsted staff.
- Violate intellectual property rights of third parties.
- Interfere with the operation or security of Olmsted's infrastructure.
6. Document Security & Confidentiality
Olmsted implements industry-standard security measures including encryption, access controls, and secure backups to protect your documents and data. However, Olmsted does not guarantee absolute security, and you acknowledge that no security system is impenetrable. You are responsible for the sensitivity and classification of content you upload to Olmsted.
7. Service Availability
Olmsted is provided on a best-effort basis. While we strive for high availability, we do not currently offer a service level agreement (SLA) or guaranteed uptime. Olmsted may experience downtime for maintenance, updates, or unforeseen technical issues. We are not liable for any damage, loss, or inconvenience resulting from service interruptions.
8. Limitation of Liability
Olmsted is provided "as is" without warranties of any kind. To the fullest extent permitted by law, Olmsted and its officers, employees, and agents are not liable for:
- Direct, indirect, incidental, consequential, or punitive damages arising from your use of Olmsted.
- Lost profits, lost revenue, lost data, or business interruption.
- Any damages resulting from unauthorized access to or alteration of your data.
- Any claims arising from regulatory decisions made based on information provided by Olmsted.
9. Termination
Termination by You
You may terminate your account at any time by requesting account deletion through the Olmsted platform or by contacting info@olmstedinfra.com.
Termination by Olmsted
Olmsted may terminate your account if you breach these Terms of Service or violate our Acceptable Use Policy. In the event of termination, you will have 30 days to download and export your data before it is permanently deleted.
10. Data Exportation
Upon account termination, you may request export of your project data and documents in standard formats. All data will be deleted from Olmsted's active systems within 30 days of termination. Backup copies may be retained for an additional 30 days for security purposes.
11. Governing Law & Jurisdiction
These Terms of Service are governed by the laws of the State of New York, without regard to conflicts of law principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in New York County for resolution of any disputes.
12. Changes to Terms
Olmsted may update these Terms of Service from time to time. We will notify you of material changes at least 30 days in advance via email or through the Olmsted platform. Continued use of Olmsted after such notification constitutes acceptance of the updated terms.
13. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Olmsted regarding the use of the platform.
